Services Scope: We will provide website maintenance services as agreed upon, which may include but are not limited to Speed Optimization, Fixing WordPress Issues, Malware Removal, SEO Optimization, and Other Maintenance tasks. Any changes or additions to the scope of work must be agreed upon in writing by both parties.
Client Responsibilities Access: The Client shall provide us with necessary access credentials, including but not limited to website hosting, CMS, FTP, and other relevant accounts, to perform the maintenance services. 2.2 Content and Materials: The Client is responsible for providing all necessary website content, materials, and instructions required for the maintenance services in a timely manner.
Payment Fees: The Client shall pay the agreed-upon fees for the website maintenance services as outlined in the provided invoice or agreement.
Payment Terms: Payment is due according to the agreed-upon terms. Late payments may result in suspension or termination of services.
Performance and Results No Guarantees: While We will make reasonable efforts to improve Website performance, Speed, Fixing Website issues, and Search engine rankings, no specific results are guaranteed.
Third-Party Services: We may utilize third-party tools, plugins, or services to optimize website speed, and perform malware removal, or other tasks. We are not responsible for any issues arising from the use of such third-party services.
Confidentiality Confidential Information: Both parties agree to keep any confidential information shared during the provision of services confidential and not disclose it to third parties, except as required by law.
Limitation of Liability Disclaimer: We will make reasonable efforts to provide accurate and reliable website maintenance services. However, we will not be held liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the services.
Indemnification: The Client agrees to indemnify and hold Company harmless from any claims, losses, or damages resulting from the use of the website maintenance services or the Client’s website.
Termination by Either Party: Either party may terminate this Agreement by providing written notice to the other party. Any outstanding fees or work completed up to the termination date shall be billed or paid, respectively.
Termination for Cause: Either party may terminate this Agreement immediately if the other party breaches any material provision of this Agreement and fails to remedy such breach within a reasonable timeframe.
